Corporate Compliance Hotline

Techwell is committed to the highest principles of ethics and integrity. To further Techwell's goal of detecting all potential illegal and unethical activities and educating emloyees and agents regarding appropriate conduct, Techwell has established a Corporate Compliance Hotline (1-800-325-9976). Anyone may call the Corporate Compliance Hotline at any time to ask questions as well as report any suspected illegal or unethical behavior or other violations of our "Code of Business Conduct" and "Code of Ethics for Senior Executive Officers" (copies may be found on the company's Web site). Any such call will be treated confidentially. Callers are not required to provide their names and Techwell will not make any effort to trace hotline calls or otherwise identify a caller who requests to remain anonymous. It is the responsibility of the Chairman of the Audit Committee to fully investigate each call and ensure that appropriate follow up actions are taken. Techwell will not engage in or tolerate retaliation again employees who report suspected violations of the law or Techwell's policies, or engagement in unethical activities. All reports will be treated seriously.
